1. Agreement to Terms & Definitions

These Terms of Service (“Terms”) constitute a legally binding agreement between Black Bull Systems (“we”, “us”, or “our”) and the commercial entity or contractor subscribing to our services (“Client” or “you”). By purchasing our services, completing an onboarding questionnaire, or using the system, you agree to these Terms, our Privacy Policy, and our Data Processing Addendum (DPA).

2. Services & The Growth Engine Package

We provide conversion-engineered websites, Google Business Profile (GBP) optimization, dedicated local business phone routing with missed-call text-back automation, and automated 5-star Google review funnels with negative review screening. We are not like generic agencies: we do not sell vanity clicks or hollow impressions. We build operating infrastructure.

3. Subscription, Pricing & Re-billable Costs

Engagements operate on transparent, predictable flat pricing. Core platform services are billed in advance on a recurring monthly cycle. Telephony usage charges (such as carrier fees for SMS/MMS segments at standard carrier rates ~ $0.0079/segment and voice routing) are billed via an automated rebillable balance without markup to ensure uninterrupted text-back capability.

We provide at least 30 days written notice prior to any rate modifications.

4. No Long-Term Lock-in Contracts & Cancellation

We do not lock clients into predatory 12-month agency contracts. We earn renewal every single month through measurable business performance. You may cancel your monthly subscription at any time with 14 days written notice prior to your next billing cycle. Upon cancellation, access to active automations will remain functional until the end of your prepaid billing period.

5. Service Delivery & 7–10 Day Build Horizon

Services are initiated immediately upon completion of your onboarding intake form and necessary asset access (domain registrar, Google credentials, verification codes). Standard website builds and automation configuration are delivered within 7–10 business days.

6. Strict No-Refund & No-Chargeback Policy

Because our digital foundation builds, phone provisioning, custom copywriting, and local citation cleanups involve immediate, non-recoverable hard costs and custom engineering work, all sales and subscription payments are final and non-refundable. You expressly agree not to initiate fraudulent chargebacks or payment disputes with your credit card provider for services delivered.

7. Intellectual Property & Asset Ownership

• Your Assets: You retain 100% ownership of your business name, trade trademarks, custom images, customer records, lead databases, and your primary Google Business Profile.
• Our Software & Frameworks: Black Bull Systems retains exclusive ownership of our proprietary software engines, automation workflows, layout code, and system architecture.
• Domain Transfers: Domains purchased or registered on your behalf transfer to your direct ownership upon written request.

8. TCPA, A2P 10DLC & Outbound Messaging Compliance

When utilizing our missed-call text-back engine or review request funnel, you are the sender of record. You agree to comply fully with the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, and carrier A2P 10DLC regulations:

1. Only message individuals with whom you have an established business relationship or valid consent.
2. Always honor automated opt-out keywords (STOP, CANCEL, UNSUBSCRIBE) — our platform enforces this automatically.
3. Refrain from transmitting unlawful, harassing, or spam communications.

9. Call Recording Disclosure

For quality control, system troubleshooting, and training, calls conducted with Black Bull Systems growth specialists may be recorded. Inbound and outbound customer calls routed through your business phone number may also be recorded if call recording is activated on your account. You are responsible for complying with applicable state two-party consent laws.

10. No Miracle Guarantees (No-BS Disclosure)

Marketing is not rocket science, and no agency possesses a magic wand. We build the most robust, high-converting digital foundations possible, but Google, Meta, and local search algorithms remain independent third-party platforms. We guarantee the relentless execution and quality of our work, but we do not promise unrealistic overnight millions.

11. Indemnification

You agree to defend, indemnify, and hold harmless Black Bull Systems, its directors, officers, and technicians from any third-party claims, liabilities, regulatory fines, or damages arising out of your customer communications, job site operations, or violation of these Terms.

12. Limitation of Liability

To the maximum extent permitted by applicable law, Black Bull Systems shall not be liable for any indirect, punitive, or consequential damages, lost profits, or business interruption. In no event shall our total cumulative liability exceed the total amount paid by you in the three (3) months preceding the incident giving rise to claim.

13. Binding Arbitration & Class Action Waiver

Any dispute, claim, or controversy arising out of or relating to these Terms or the breach thereof shall be settled exclusively by binding individual arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. BOTH PARTIES EXPRESSLY WAIVE ANY RIGHT TO COMMENCE OR PARTICIPATE IN A CLASS ACTION, COLLECTIVE PROCEEDING, OR REPRESENTATIVE LAWSUIT.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without giving effect to any principles of conflicts of law.
